These Terms and Conditions (the "Terms") govern your use of the Govato Desktop Application (the "Software") provided by Govato Pty Ltd ("Govato", "we", "us", "our", "Platform"). Please read these Terms carefully before using the Software. By using the Software, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Software, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Software.
2. License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sub licensable license to download, install, and use the Software for your personal, non-commercial use.
3. User Responsibilities
You are responsible for obtaining the data network access necessary to use the Software. Your mobile network's data and messaging rates and fees may apply if you access or use the Software from your device. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Software and any updates thereto.
4. User Content
The Software enables you to record professional conversations, create transcriptions, and generate summaries or ideas from these transcriptions (collectively, "Content"). You are solely responsible for the legality, reliability, integrity, accuracy, and quality of the Content.
5. Privacy and Data Protection
Our collection and use of personal information in connection with the Software is described in our Privacy Policy. Please review our Privacy Policy at [insert link to Privacy Policy].
6. Intellectual Property Rights
All rights, title, and interest in and to the Software (excluding Content provided by users) are and will remain the exclusive property of Govato and its licensors. Except as expressly provided herein, nothing in the Terms gives you a right to use the Govato name or any of the Govato trademarks, logos, domain names, and other distinctive brand features.
7. Prohibited Uses
You agree not to use the Software for any illegal, unauthorized, harmful, misleading, malicious, or discriminatory purpose, or to transmit any content that is violent, defamatory, obscene, or otherwise objectionable.
8. Disclaimers
The Software and any other service and content included on or otherwise made available to you through the Software are provided to you on an 'as is' or 'as available' basis without any representations or warranties of any kind. We disclaim any and all warranties and representations (express or implied, oral or written) with respect to the Software and Content whether alleged to arise by operation of law, by reason of custom or usage in the trade, by course of dealing, or otherwise.
9. Limitation of Liability
In no event will Govato be liable to you or any third party for any damages, including but not limited to, service interruptions, or for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever, whether based on contract, tort, negligence, strict liability or otherwise.
10. Indemnity
You agree to defend, indemnify, and hold Govato, its officers, directors, employees, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Software.
11. Changes to Terms
We may modify the Terms at any time, in our sole discretion. If we do so, we'll let you know either by posting the modified Terms on the Software or through other communications. By continuing to use the Software after we have made such changes to these Terms, you are indicating that you agree to be bound by the modified Terms. If you don't agree to be bound by the modified Terms, then you may not use the Software anymore.
12. Termination
We may terminate or suspend your access to the Software immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.
13. Dispute Resolution
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the LCIA Rules, which rules are deemed to be incorporated by reference into this clause.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
16. Entire Agreement
These Terms are the entire agreement between Govato and you regarding the Software and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.

18. Recording Conversations
The Software may offer features that allow for the recording of live conversations. By using this feature, you represent and warrant that you have obtained all necessary consents from all participants in the conversation to record such conversation and to store, process, and use such recordings in accordance with these Terms and our Privacy Policy.
19. Transcription and Analysis
The Software may provide features to transcribe and analyze recorded conversations. You understand and agree that such transcriptions may not be completely accurate and that Govato does not warrant the accuracy, reliability, or completeness of any transcriptions provided by the Software.
20. Forms
The Software may provide functionality for creating and filling out forms based on your recorded conversations. You acknowledge that the interpretation and use of these forms and any associated data is your responsibility, and Govato provides no warranties as to the accuracy, relevance, or usefulness of such forms.
21. Recommendations
The Software may also provide recommendations or suggestions based on the analysis of your recorded conversations and filled questionnaires. You understand that these recommendations are provided for informational purposes only, and are not intended to replace professional advice. You agree that any actions or decisions taken based on these recommendations are your own responsibility.
22. Content Retention
You understand that Govato may retain the content generated through the Software (including recorded conversations, transcriptions, questionnaires, and recommendations) for a limited time period in accordance with our Privacy Policy. Please consult our Privacy Policy for further information on our content retention practices.
23. Use of Processed Information
By using the Software, you grant Govato a worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, distribute, and display the transcriptions, forms, and recommendations generated by the Software solely for the purpose of improving our services and developing new ones. We will handle all data in compliance with our Privacy Policy.
24. Account Deletion and Data Restoration
Be aware that once you choose to delete your account, all associated data will be permanently removed from our servers. This action is irreversible. Once your account is deleted, we will not be able to restore your account or retrieve any of your data. We strongly recommend that you download and save any data that you may need in the future before proceeding with account deletion. By deleting your account, you acknowledge and accept this condition.
25. PII Redaction Using AssemblyAI
In our commitment to safeguarding user privacy, Govato has integrated with AssemblyAI to redact Personally Identifiable Information (PII) from transcriptions. The following items are targeted for redaction:
- Email addresses
- Phone numbers
- US Social Security numbers
- Credit card numbers
- Credit card expiration dates
- Credit card CVVs
- Personal names
- Organizations
- Driver's license details
- Banking information
While we strive for comprehensive redaction of these items, users should be aware that the accuracy of the redaction process is managed by our third-party service, AssemblyAI. As such, the complete and accurate redaction of all PII is not guaranteed. We continuously collaborate with AssemblyAI to enhance the accuracy and efficiency of the redaction process, but users should exercise caution and discretion when sharing sensitive information.
